Terms of Service

These Terms of Service (“Terms”) govern your access to and use of ResourcePilot, including our website, software platform, API, integrations, documentation and related features. By creating an account, purchasing a subscription or using ResourcePilot, you agree to these Terms. You must be at least 18 years old and legally capable of entering into a binding agreement.

1. About ResourcePilot

ResourcePilot is an independent software business based in Pakistan. In these Terms, “ResourcePilot”, “we”, “us” and “our” refer to the operator of the ResourcePilot platform. Product and account support is available at support@resourcepilot.co.

2. The ResourcePilot platform

ResourcePilot provides API-based software for catalog synchronization, resource metadata management, access controls, usage reporting, supported integrations and controlled delivery of digital resources. The features and usage allowances included with each subscription are shown on the relevant plan or checkout page.

ResourcePilot provides software infrastructure and access tools. Access to the platform does not automatically grant a right to resell, sublicense or redistribute third-party products. Any third-party resource remains subject to the license that applies to that resource.

3. Accounts, security and credentials

You must provide accurate account information and keep your login credentials, API tokens, download credentials and integration secrets secure. You must not publish private credentials, expose them in public client-side code, share them with unauthorized persons or deliberately allow others to bypass account controls.

You are responsible for activity performed through your account unless it results directly from a security failure within systems controlled by ResourcePilot. Please notify us promptly if you believe an account or credential has been compromised.

4. Software and resource licensing

While your subscription is active and in good standing, ResourcePilot grants you a limited, non-exclusive, non-transferable right to access and use the platform, API, documentation and included integrations in accordance with your plan and these Terms.

Third-party resources may be governed by GPL, open-source, commercial or other license terms. Those licenses determine your rights to install, modify, copy, distribute or commercially use the relevant resource. ResourcePilot access does not expand or replace the underlying license.

You must not use ResourcePilot to infringe intellectual-property rights, distribute malware, facilitate unauthorized access, bypass technical restrictions or operate an unlawful, deceptive or abusive service. More information is available in our Licensing & Usage Policy.

5. Plans, usage allowances and custom capacity

Each published plan includes defined features and usage allowances. These may include API usage, delivery allowances, account limits, catalog access and other technical limits. The plan shown to you at purchase is the plan that applies to your subscription.

If your project requires additional limits or capacity beyond a published plan, contact us with your expected usage and requirements. Where additional capacity is available, we can provide a custom quote.

We may apply reasonable rate limits, access controls and technical safeguards to protect platform stability, security, licensing compliance and fair access. Deliberately bypassing usage limits, rotating credentials to evade controls or materially interfering with the service may result in restriction or suspension.

6. Pricing and billing

Subscription prices, billing periods, taxes where applicable, and included features are shown before purchase. Payments may be handled by third-party checkout and commerce providers. The terms presented during checkout may also apply to the transaction.

ResourcePilot does not store full payment-card numbers. We receive the transaction and subscription information needed to activate accounts, manage access, provide support and maintain billing records.

7. Subscriptions, renewals and cancellation

Recurring subscriptions renew according to the billing interval and price shown at checkout until cancelled. You can cancel using the subscription-management option provided with your purchase or by contacting us for assistance. Unless otherwise required by law or stated at checkout, cancellation prevents the next renewal and access continues until the end of the current paid billing period.

Cancellation and refund are separate. Cancelling a subscription does not automatically refund a payment already made. Eligible refund requests are handled under our Refund & Cancellation Policy and any mandatory consumer rights that apply.

8. Suspension and termination

We may restrict or suspend access where reasonably necessary for overdue payment, compromised credentials, fraud or abuse risk, material security threats, infringement concerns, prohibited use, deliberate limit evasion or a material breach of these Terms. Where reasonably possible and legally permitted, we will provide notice and an opportunity to resolve the issue.

9. Availability, updates and third-party dependencies

We work to provide reliable access, but no online service can guarantee uninterrupted availability. Maintenance, security events, upstream provider changes, legal requests or third-party outages may affect the platform. Individual catalog items, versions, integrations or endpoints may be changed, replaced or removed where required for security, compatibility, licensing or operational reasons.

You are responsible for testing integrations and maintaining appropriate backups of your own systems and data before deploying changes in production.

10. Intellectual property

The ResourcePilot platform, original source code, API design, documentation, branding, interface and original materials are owned by the operator of ResourcePilot or used under license. Except for the limited platform-use right granted by these Terms, no ownership in ResourcePilot is transferred to you. Third-party resources remain subject to the intellectual-property rights and licenses of their respective rights holders.

11. Acceptable use

You may not use ResourcePilot for unlawful activity, fraud, deceptive practices, infringement, malicious code distribution, credential theft, unauthorized system access, denial-of-service activity, attempts to defeat security controls or any use that creates unreasonable legal, security or operational risk for ResourcePilot or its providers.

We may investigate credible complaints and may remove or restrict access to content or functionality while an intellectual-property, security or compliance concern is reviewed.

12. Disclaimers and limitation of liability

Nothing in these Terms excludes liability or mandatory consumer rights that cannot legally be excluded. Subject to those rights, ResourcePilot is provided on an “as is” and “as available” basis. We do not warrant that every integration, resource or third-party dependency will remain available indefinitely or be suitable for every use case.

To the maximum extent permitted by applicable law, we are not liable for indirect, incidental, special or consequential losses, loss of profits, loss of business opportunity, loss of data or business interruption. To the extent a financial cap on liability is legally permitted, our aggregate liability arising from the affected ResourcePilot subscription will not exceed the subscription fees paid for that account during the three months immediately preceding the event giving rise to the claim.

13. Responsibility for unlawful use

To the extent permitted by applicable law, business users are responsible for claims, losses or reasonable costs resulting from their unlawful use of ResourcePilot, violation of a third-party license, infringement of third-party rights or deliberate breach of these Terms.

14. Changes to these Terms

We may update these Terms to reflect product changes, legal requirements, billing arrangements or security and operational needs. The effective date above identifies the current published version. Where required by law, material changes will be communicated before they take effect.

15. Governing law and mandatory rights

These Terms are governed by the laws of Pakistan, without limiting any mandatory consumer protections that apply under the laws of a customer's country of residence.
